Wireless Age Communications Enters into an Agreement to Acquire MaxTel Wireless



TORONTO--(BUSINESS WIRE)--July 7, 2004--Wireless Age Communications Inc. (OTCBB:WLSA) announced today that it has signed a letter of intent to acquire MaxTel Wireless Inc. of Vineland, Ontario.
MaxTel operates broadband wireless networks for government, hospitals and private firms and land mobile radio networks for municipal police and fire departments in Ontario's Niagara Peninsula. Wireless Age plans to integrate the proposed MaxTel acquisition with the proposed Knowlton Pass acquisition. Knowlton Pass' line of consumer products ("Broadcast on Demand", Telephone and Internet Access), will integrate with the existing MaxTel B2B and B2G offerings.

MaxTel joins the growing portfolio of value added wireless products and services offered by Wireless Age. Wireless Age continues to execute on its strategy of building an network centric wholesale and retail chain for wireless devices, accessories, and services.

The proposed acquisition is subject to further diligence and certain necessary consents and therefore specific details of the transaction are not being made available at this time. The Company, however, is planning to close the transaction in October.

John G. Simmonds, CEO of Wireless Age stated, "The purchase of Southern Ontario based MaxTel compliments the Company's recently announced proposed acquisition of Alberta based WestCan and is a key development in the building of "Wireless Works", the Company's Network division."

MaxTel's customer base will provide the Company an additional platform for "Wireless Source", enhancing the previously announced Marlon, Allcan and Bluewave proposed acquisitions. MaxTel, provides the Company an initial presence in the Ontario retail market for the proposed deployment of the last mile strategy announced under the proposed Knowlton Pass purchase.

"Wireless Works" is the Company's network strategy, "Wireless Source" is the Company's wholesale/distribution initiative and "Wireless Age" is the Company's retail group.
